Overview
Warranty and Indemnity (W&I) insurance is a tailor-made insurance product designed to provide cover for losses arising from a breach of warranties and indemnities in connection with a corporate merger or acquisition transaction which enables the parties to mitigate and improve risk.

Dale Cridlan
Dale is a tax practitioner and director at Norton Rose Fulbright, based in Johannesburg. He specialises in corporate tax, corporate restructuring, mergers and acquisitions, deal structuring, due diligence, and structured finance.

Dale's practice experience includes advising on tax disputes with revenue authorities, restructuring of groups of companies, tax aspects of debt and equity financing, tax aspects of corporate acquisitions and disposals and mining tax.

Dale has previously worked for large mining companies – including Anglo American plc and Rio Tinto plc – and has advised on the tax structuring of their black economic empowerment transactions and divestitures. More recently Dale has gained experience in the financial services arena including structured finance, corporate finance, acquisitions and divestitures, securities transfer tax, withholding tax and the taxation of financial and hybrid instruments. Dale has also recently assisted South African corporates with their expansion plans into Africa and advised Exxaro Resources limited on acquisition of Total Coal South Africa (Pty) Limited from Total SA.

Loris Rech
Loris Rech is a commercial lawyer and director at Norton Rose Fulbright, based in Johannesburg. He specialises in mergers and acquisitions and has market-leading experience in the field of legal due diligence.

He has acted for well-known South African and international mining, commercial and industrial companies, various South African and international banks and local and international private equity houses.
